Report from SeaTwirl’s Annual General Meeting

SeaTwirl held its annual general meeting in Gothenburg on February 19th, 2019. The following main decisions were made.

The income statement and balance sheet were approved
The meeting decided to approve the income statement and balance sheet.

Re-election of the board
The whole board of directors, consisting of Pontus Ryd, Daniel Ehrnberg, Peter Laurits, Roger Cederberg (chairman), Charlotte Bergqvist and Jens Tommerup, were re-elected.

Authorization of rights issue
The meeting authorized the board to decide about one or more issues of new shares and/or warrants and/or convertibles. The issues shall be made at a market-based subscription price, but no lower than 65 SEK. The number of shares that can be issued is not limited other than by what the articles of association states at every given time about share capital and number of shares.

The issues may deviate from shareholder’s preferential rights. The purpose is to make it possible to broaden the ownership in the company, first and foremost to owners with competence within offshore and wind power and with a strong financial position.
