SeaTwirl will not proceed with the Letter of Intent with Colruyt Group and NorSea Group and instead intends to raise capital from the market through rights issues

According to the letter of intent, Colruyt Group and Norsea Group would inject a total of 70 MSEK in new capital at a price of 65 SEK a share. SeaTwirl’s valuation has increased considerably over the last year, with the current share price being around 210-220 SEK. With the increasingly positive sentiment surrounding renewable energy, grants as well as patents obtained by SeaTwirl and positive test reports, the company has a very strong belief in the future with many countries planning for floating wind power generation.

The cash injection from the EU grant made it possible to develop the system up to a level where the critical issues have been handled and SeaTwirl can now enter the phase of ordering materials and planning the installation.

SeaTwirl’s board and owners are optimistic about the outlook for floating wind energy and its enormous potential. Working with Colruyt Group and Norsea Group over the last year has been educational and SeaTwirl has received valuable input which has strengthened the confidence in the technology platform. SeaTwirl intends to continue the cooperation and work closely with both companies in the future.

However, with the current valuation of SeaTwirl and the healthy cash flow, due to the received grants, SeaTwirl has opted to not proceed with the letter of intent. Instead, SeaTwirl will raise capital from the market through rights issues. That strategy will give SeaTwirl freedom to maneuver and to continue the strong focus on the development, installation and commercialization of SeaTwirl S2. SeaTwirl believes this approach will speed up the S2 project, which has already come a long way, and lead to both S2 and future complimenting projects becoming successful.

SeaTwirl will raise funds to build and install SeaTwirl S2 which is now planned to take place in Q2-Q3, 2021, with the combination of grants and share emissions. Furthermore, a commercialization strategy will be worked out and executed before the time of installation. The first emission is expected to be executed during Q2, 2020 raising approximately 70 MSEK.

The belief is that the scenario above will position SeaTwirl even better to take advantage of the strong development within floating offshore wind power.

Run the general operation with a focused strategy on obtaining additional grants

Enligt avsiktsförklaringen skulle Colruyt Group och NorSea Group skjuta till totalt 70 MSEK i nytt kapital till en kurs på 65 SEK per aktie. SeaTwirls värdering har ökat väsentligt under senaste året, med en nuvarande aktiekurs runt 210 – 220 SEK. Givet det alltmer positiva sentimentet runt förnyelsebar energi, de bidrag och patent som SeaTwirl har erhållit och de positiva testrapporterna, har bolaget en stark tro på framtiden då flera länder planerar för elproduktion från flytande vindkraft.

Pengarna från EU-bidraget har gjort det möjligt att utveckla systemet upp till en nivå där de kritiska frågorna har hanterats och SeaTwirl kan nu gå in i fasen med att beställa material och planera installationen.

SeaTwirls styrelse och ägare är optimistiska kring utsikterna för flytande vindkraft och den enorma potential som finns. Att arbeta med Colruyt Group och NorSea Group under det senaste året har varit lärorikt och SeaTwirl har fått värdefull input som har stärkt tron på teknologiplattformen. SeaTwirl avser att fortsätta samarbeta med båda bolagen i framtiden.

Mot bakgrund av den nuvarande värderingen av SeaTwirl och det goda kassaflödet från bidragen, har SeaTwirl dock beslutat att inte gå vidare med avsiktsförklaringen med Colruyt Group och NorSea Group. I stället avser SeaTwirl att ta in ytterligare kapital från marknaden genom nyemissioner. En sådan strategi kommer att ge SeaTwirl manöverutrymme att fortsätta fokusera på utvecklingen, installationen och kommersialiseringen av SeaTwirl S2. SeaTwirl bedömer att detta tillvägagångssätt kommer att skynda på S2-projektet, som redan har kommit långt, och leda till att både S2 och framtida kompletterade projekt kommer att bli lyckade.

SeaTwirl avser söka finansiering för att säkerställa installation av SeaTwirl S2, vilket nu planeras ske Q2 – Q3 2021, samt för framtagande av en kommersialiseringsstrategi att vara framme och genomförd till installationen. Finansiering avses ske genom en kombination av bidrag och nyemissioner. En första nyemission på ca 70 MSEK förväntas genomföras under Q2, 2020. De närmare villkoren för en sådan nyemission har ännu inte bestämts.

Bedömningen är att ovanstående strategi kommer att positionera SeaTwirl ännu bättre för att dra nytta av den starka utvecklingen inom flytande vindkraft.

Sammanfattning:
I stället för att gå vidare med avsiktsförklaringen med Colruyt Group och NorSea Group avseende en investering om 70 MSEK i SeaTwirl, avser SeaTwirl att ta in kapital från marknaden genom nyemissioner. SeaTwirl avser använda kapitalet till att:

· Fortsätta beräknings-, simulerings- och konstruktionsarbetet av SeaTwirl S2

· Spika testområde och alla erforderliga tillstånd

· Spika installationsmetod för SeaTwirl S2

· Slutföra alla ansökningar till statliga institutioner och EU

· Köpa in material för konstruktionen av SeaTwirl S2

· Kommersialisera och bygga varumärke för SeaTwirl S2

· Allmänna företagsändamål med en fokuserad strategi för att erhålla ytterligare bidrag
